Terms of Service

1. What this is
AgentPay (“we”, “us”) provides a developer platform that lets you issue spend-limited virtual debit cards — through a card-issuing partner — to be used by AI agents operating under policies you set. By creating an account, you agree to these Terms.
2. Who can use it
You must be at least 18 years old and legally able to enter contracts. You must be located in the United States. You must provide accurate KYB information (legal name, date of birth, address, phone). You are responsible for the security of your account and any API keys you generate.
3. Test mode and live mode
The product currently operates in test mode. No real charges are initiated; all cards are issued against Stripe's Issuing test environment. When live mode becomes available, you will be prompted to re-accept updated Terms before any real-money activity can occur on your account.
4. How card issuance works
Virtual cards are issued by our card-issuing partner (currently through Stripe Issuing, which uses Celtic Bank as the issuer of record). We are not a bank. We are not the issuer of record. We facilitate card issuance under spending controls you define via policies and per-card overrides.
For every card request, we place an authorization hold on the payment method you have saved with us (“auth-hold”) for the requested amount. If the card is used at a merchant, we capture the hold; if the card is closed or expires unused, we release the hold. You authorize us to place and capture these holds when you save a payment method and when you submit a card request via our API, dashboard, or MCP server.
5. What your agents do is your responsibility
You are solely responsible for the spending decisions your agents make while using cards issued through AgentPay. We provide the policy engine, spending caps, approval queue, and audit trail so you can constrain agent behavior — but the ultimate accountability for transactions initiated with your cards rests with you and your account holder of record.
6. Acceptable use
You agree not to use AgentPay for any unlawful, fraudulent, or prohibited activity. See our Acceptable Use Policy for the full list of restrictions, including but not limited to: unlawful goods, sanctions evasion, targeting of critical infrastructure, abuse of the approval queue, or attempts to bypass Stripe Issuing terms. Violations may result in card revocation, API key termination, and account suspension without notice.
7. Fees
Current fees are listed on our pricing section. Test-mode usage is free. Live-mode fees will be confirmed in updated Terms before live mode is enabled for your account. We may change fees with at least 30 days' notice via email.
8. Your data
See our Privacy Policy for exactly what we collect, how we store it, and what rights you have. In short: we never store raw card numbers or CVVs (those live in Stripe's vault), we hash API keys and magic-link tokens, and we do not sell your data.
9. Intellectual property
AgentPay, the AgentPay name, and our documentation are our intellectual property. You retain all rights to the data you submit through the platform. We will not claim ownership of your agent code, prompts, or account-level metadata.
10. Warranty disclaimer
The service is provided “as is” during test-mode operation. We do not warrant that the service will be uninterrupted, error-free, or fit for a particular purpose. Outages, Stripe-side incidents, webhook delivery delays, and authorization declines are expected behaviors of a young product on third-party infrastructure. Agents sometimes misbehave; we provide mechanisms to constrain them but cannot guarantee an agent will not spend in ways you regret.
11. Limitation of liability
To the fullest extent permitted by law, our total liability to you for any claim arising from or related to the service is limited to the fees you have paid to us in the twelve months preceding the claim, or one hundred US dollars, whichever is greater. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or costs of substitute services.
12. Termination
You may close your account at any time by revoking all API keys, closing all active cards, and emailing us to delete your data. We may suspend or terminate your account for violations of these Terms or our Acceptable Use Policy, with notice where reasonable. On termination, we will cancel active cards, release any outstanding auth-holds where possible, and delete personal data consistent with our Privacy Policy and any legal retention requirements.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email at least 14 days before they take effect. Continued use of the service after the effective date of a change constitutes acceptance.
14. Governing law and venue
These Terms are governed by the laws of the State of California, United States, excluding conflict-of-laws principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and each party consents to personal jurisdiction there.
